Terms of Use — Zplit

§1 Responsible party
The Zplit application is developed and operated by 55.936.782 LUCAS SCHMIDT, a Brazilian company registered under CNPJ no. 55.936.782/0001-67. For any matter related to these Terms of Use, the official contact channel is the email zplit.team@gmail.com.
These Terms are published in accordance with the Brazilian Internet Civil Framework (Marco Civil da Internet, Law no. 12.965/2014), which governs the use of the internet in Brazil and requires the clear identification of the party responsible for the service, as well as a description of the conditions of use and the scope of the functionalities offered.
§2 Acceptance of these Terms
By creating an account or using Zplit in any way, you declare that you have read, understood and fully accepted these Terms of Use, as well as the Privacy Policy. If you do not agree with any provision of these Terms, do not use the application.
Acceptance of these Terms is an indispensable condition for access to the service.
§3 What Zplit is
Zplit is an expense-splitting calculator for events. It allows you to:
- Organize events (barbecues, trips, parties, etc.);
- Add participants (with name and optional phone number);
- Record expenses and consumed items;
- Automatically calculate how much each participant owes;
- Import items from a receipt using artificial intelligence;
- Share amounts and reminder messages via WhatsApp deep link.
Zplit does not process payments. The application only calculates amounts and organizes information. The actual transfer of money between you and your participants happens outside Zplit, through means chosen exclusively by you (Pix, bank transfer, cash, etc.). Zplit is not a payment institution, does not custody funds, does not intermediate financial transactions, and does not act as an acquirer, sub-acquirer or payment facilitator.
When Zplit offers WhatsApp shortcuts, the message is only pre-filled and sent by your own WhatsApp app, under your credentials and your responsibility.
§4 Eligibility
To use Zplit, you must have legal capacity under Brazilian law. Minors under 18 may use the application provided that they have the consent and supervision of their parents or legal guardians, as detailed in the Privacy Policy, §9.
You declare that the registration information you provide is true, complete and up to date, and you assume full responsibility for keeping it that way.
§5 Your account
Your Zplit account is personal and non-transferable. You are responsible for:
- Keeping your password confidential and protecting your access credentials;
- Keeping your registration data up to date (email, name, phone, if filled);
- All actions performed under your account, even if performed by third parties with or without your consent;
- Notifying us immediately, via zplit.team@gmail.com, in case of unauthorized use of your account or any other security failure of which you become aware.
§6 Acceptable use
You agree not to use Zplit for:
- Illegal purposes or purposes that violate the rights of third parties;
- Sending spam to participants — Zplit’s WhatsApp shortcuts are intended exclusively to communicate legitimate amounts and charges to people with whom you have actually shared expenses, and never for mass sending, advertising, or unsolicited communication;
- Attempting to break the security of the service, perform reverse engineering, scraping, or exploit vulnerabilities of any nature;
- Submitting receipt images that are not genuine and related to your own expenses;
- Importing personal data of third parties (names, phone numbers of participants) without the proper consent of the data subjects;
- Overloading the service infrastructure (automated use, artificial generation of events, circumventing usage limits);
- Engaging in any other conduct that violates these Terms, the Privacy Policy, or applicable law.
§7 User content and intellectual property
Your data is yours. You retain full ownership of all content you enter into Zplit (event names, descriptions, expense amounts, data of participants you add, receipt images, etc.).
For the service to function, you grant 55.936.782 LUCAS SCHMIDT a limited, free, non-exclusive and revocable license to process, store and display this data strictly for the purpose of operating the service for you. This license terminates when you delete the content or your account.
The source code, design, layout, brand, logo, the name “Zplit”, texts, icons, and other materials of the application are the exclusive property of 55.936.782 LUCAS SCHMIDT or its licensors, protected by Brazilian intellectual property and copyright law. Nothing in these Terms transfers to you any right over this intellectual property. It is forbidden to copy, modify, distribute, sell or create derivative works without express written authorization.
§8 Paid vs free features
Currently, all Zplit features are free. We do not charge anything for the use of the application, there is no premium plan, there are no in-app purchases, and there is no paywall on any existing feature.
We reserve, however, the right to introduce paid features (subscription plans, advanced features, extended limits, etc.) in the future. Should this happen:
- You will be notified in the app with reasonable advance notice before the changes take effect;
- No feature that is currently free will be converted to paid without prior notice and without offering you the option to continue using the service within the available free plan;
- The commercial terms (price, billing cycle, refund policy) will be disclosed in the app before any contracting.
§9 Limitations of liability
Zplit is provided “as is” and “as available”, without warranties of any kind, express or implied, including, but not limited to, warranties of fitness for a particular purpose, absence of errors, or uninterrupted availability.
You are solely responsible for verifying the calculations presented by the application before charging any amount from your participants. Zplit does not replace your due diligence: review totals, items imported via receipt, and the split before communicating amounts.
To the maximum extent permitted by applicable law, 55.936.782 LUCAS SCHMIDT shall not be liable for:
- Discrepancies between the calculation presented by the application and the amount actually owed due to typing errors, omitted expenses, subsequent changes to items, or any other cause attributable to you;
- Disputes between you and your participants regarding payments, amounts owed, charges or reimbursements — Zplit does not act as a mediator, intermediary, or arbiter of these relationships;
- Service unavailability, slowdowns, data loss or failures arising from third parties (Supabase, Google, telecom carriers, internet providers) or from force majeure events;
- Imprecise or incomplete results from the receipt-import function — this function uses artificial intelligence and may fail, omit items, or interpret them incorrectly; always review before saving.
Nothing in these Terms excludes or limits liability that, by force of mandatory law (in particular the Brazilian Consumer Protection Code (Código de Defesa do Consumidor), where applicable), cannot be excluded or limited.
§10 Termination
You may terminate your account at any time, free of charge, from within the application: go to Profile → Delete account and confirm the operation.
The deletion is immediate and irreversible: all associated data (events, participants, expenses, payments, records) is deleted in cascade, in the same transaction. It is not possible to recover data after deletion. The residual retention limits for audit logs are described in the Privacy Policy, §7.
We may suspend or terminate accounts, at any time and without prior notice, in cases of:
- Violation of these Terms or of the Privacy Policy;
- Reasonable suspicion of fraud, abuse, illegal activity, or risk to the security of the service or other users;
- Determination by a competent authority.
When possible and legally permitted, we will communicate the reason for the suspension in advance and provide reasonable time for the situation to be remedied.
§11 Changes to these Terms
We may amend these Terms of Use from time to time to reflect changes in law, operational practices, or app functionalities. The date in “Last updated” (at the top of the document) will always reflect the most recent version.
In case of material changes — for example, a change to the liability clause, the introduction of paid features, or a change of forum — we will display a prominent in-app notice before the new version takes effect, with reasonable time for your review. Continued use of Zplit after the new version takes effect constitutes acceptance of the changes. If you do not agree with the new version, you must terminate your account before its effective date.
§12 Governing law and forum
These Terms are governed by the laws of the Federative Republic of Brazil, in particular by the Brazilian Internet Civil Framework (Lei nº 12.965/2014), the Consumer Protection Code (Lei nº 8.078/1990), where applicable, and the General Data Protection Law (Lei nº 13.709/2018).
The courts of the Comarca de Blumenau/SC are elected as the exclusive forum for any disputes arising from these Terms or from the use of Zplit, with express waiver of any other forum, however privileged it may be, except for the cases of absolute jurisdiction provided by law (in particular the forum of the consumer’s domicile, where the Consumer Protection Code applies).
